Last updated: 1 November 2026

These terms set out the rules for using the la12 platform by companies, their employees and lunch suppliers. Please read them before using the platform. How we process personal data is described in the Privacy policy.

1. The parties and acceptance of the terms

The la12 platform (the la12.md website and web app) is run by Societatea cu Răspundere Limitată „ICD SOFT DEV” (a limited liability company; “la12”, “we”), registered in the Republic of Moldova.

By creating an account or using the platform you accept these terms. If you sign up on behalf of a company or a supplier, you confirm that you are authorised to represent it, and the terms also apply to it.

2. Definitions

  • Platform: the la12.md website, the la12 web app and related services (for example, notifications).
  • Company: a legal entity or sole trader that signs up its offices on la12 to organise lunch for its employees.
  • Company administrator: the person who manages the company account: offices, suppliers, employees and lunch allowances.
  • Office manager: a person appointed by the company to manage one or more offices.
  • Employee: a person for whom the company has created an account so they can pick their lunch.
  • Supplier: a catering company or other food business offering lunches through the platform; couriers are the people who deliver on the supplier's behalf.
  • User: anyone who uses the platform, in any of the roles above.
  • Order: the lunches picked by the employees of one office for a given day from a given supplier.
  • Order deadline: the moment after which picks for that day close and the order is sent to the supplier.

3. What la12 is

la12 is a software platform that connects companies with lunch suppliers: employees pick their lunch from the supplier's menu, the order is sent to the supplier automatically at the order deadline, the supplier delivers it to the office, and at the end of the month the platform calculates the amounts to invoice.

la12 is a technical intermediary. We do not cook, sell or deliver food and we are not a party to the food supply contract, which is made directly between the company and the supplier. The supplier is responsible for the quality and safety of the food, for information on ingredients and allergens, for prices and for delivery.

The platform currently runs as a launch (beta) version. Features may change, and some may be added or withdrawn along the way.

4. Accounts and roles

  • The company account is managed by the company administrator, who adds offices, office managers and employees and chooses suppliers.
  • Employee accounts are created by the company. When an employee leaves the company, the company deactivates their account.
  • Suppliers create their own account and can add their couriers.
  • Account information must be accurate and kept up to date.
  • Keep your login details confidential and do not share your account with others. You are responsible for activity in your account; if you suspect unauthorised access, tell us immediately at [email protected].

5. Obligations of companies and employees

The company:

  • chooses the suppliers, the schedule, the order deadlines and any lunch allowance, and informs its employees about these rules;
  • has a legal basis for entering its employees' data into the platform and informs them about the processing, including by referring them to the Privacy policy;
  • provides correct delivery addresses and makes sure orders are received at the office;
  • pays the supplier for the food ordered, as agreed between them;
  • is responsible for what its administrators and office managers do on the platform.

Employees pick their lunch before the order deadline and use the platform only for the purpose it was provided for. Marking allergens in your profile is an aid, not a guarantee: if you have severe allergies, always check the ingredients directly with the supplier.

6. Obligations of suppliers

The supplier:

  • holds all required authorisations and complies with the laws of the Republic of Moldova on food safety, hygiene and consumer information, including the requirements of the National Food Safety Agency (ANSA);
  • publishes accurate menus, prices, descriptions and photos and keeps them up to date;
  • correctly declares the allergens in each dish, as required by law, and is responsible for the accuracy of this information;
  • prepares and delivers the orders received on time, safely, to the office address, and promptly notifies the company through the platform if it cannot fulfil an order;
  • invoices companies directly for the food and is responsible for its own tax obligations;
  • is responsible for its couriers and for how they use the platform;
  • uses the data received through the platform (employee usernames, office addresses, food notes) only to prepare, deliver and invoice orders, in compliance with data protection law;
  • pays the la12 subscription, as set out in “Pricing and payment”.

7. Orders and deadlines

  • Each employee picks their lunch from the available menu before the order deadline set for their office. Until then the pick can be changed or cancelled.
  • At the order deadline the office's order is sent to the supplier automatically and becomes final.
  • After the deadline, changes or cancellations are only possible directly with the supplier and only if the supplier accepts them.
  • The supplier may cancel an order only by giving a reason, which is shown to the company; cancelled lunches are excluded from the totals and from the monthly calculation.
  • Monthly amounts are calculated from the orders recorded on the platform. Any discrepancy (for example, a lunch that was not delivered) should be reported to the supplier as soon as possible, preferably the same day, and is settled between the company and the supplier.
  • la12 is not responsible for late, missing or poor-quality deliveries, but can provide the data from the platform to help clarify what happened.

8. Pricing and payment

  • For companies and employees the platform is free.
  • Food is paid for directly to the supplier, at the supplier's prices and as agreed between the company and the supplier. la12 does not collect or process payments for food.
  • Suppliers pay la12 a subscription based on their order volume (a fixed monthly fee or a fee per delivered portion) and, for clients found through the la12 catalog, a commission on those clients' orders, as set out on the Pricing page. The plans, prices and free period are those published on that page.
  • la12 invoices the supplier monthly; the payment term is stated on the invoice. The subscription is monthly with no long-term contract, and the supplier may cancel it at any time, effective from the next billing period.
  • We will give at least 30 days' notice before introducing new fees or changing prices, including when the free launch period ends. If you do not agree, you may stop using the service before the new prices apply.

9. Acceptable use

You must not:

  • use the platform for unlawful purposes or contrary to these terms;
  • try to gain unauthorised access to accounts, data or systems, test for vulnerabilities without our consent or disrupt the platform;
  • extract data automatically (scraping) or overload the platform with automated requests;
  • publish false, misleading or offensive content or content that infringes the rights of others;
  • impersonate another person or company;
  • use other users' data for any purpose other than organising and delivering lunch.

If you discover a vulnerability, please write to us at [email protected].

10. Content and intellectual property

The la12 brand, logo, design and the platform's software belong to ICD SOFT DEV or its licensors. We grant you a limited, non-exclusive, non-transferable right to use the platform while you have an account, in accordance with these terms.

Content you upload (menus, descriptions, photos, logos, avatars) remains yours. Suppliers grant us a non-exclusive, royalty-free licence, valid while they have an account, to host, reproduce, technically adapt (for example, resize) and display this content on the platform, in the supplier catalog and on la12's public pages. The licence ends when the content or the account is deleted, except for backup copies kept temporarily.

You confirm that you hold the necessary rights to the content you upload and that it does not infringe the rights of others. We may remove content that breaches these terms or the law.

11. Availability of the service

The platform is provided “as is” and “as available”, especially during the launch period. We make reasonable efforts to keep it running without interruption, particularly around order deadlines, but we cannot guarantee that it will always be available or free of errors.

We may temporarily suspend the platform for maintenance or updates. We announce planned work in advance and, where possible, carry it out outside ordering hours.

You can export orders and reports at any time; we recommend keeping the ones you need.

12. Limitation of liability

To the extent permitted by the laws of the Republic of Moldova:

  • la12 is not liable for the quality, safety, composition, allergens, quantity, price or delivery of food: these are the supplier's responsibility;
  • we are not liable for indirect losses, such as loss of profit, clients or data, or for situations caused by outages of third-party services (internet, hosting, Telegram) or by force majeure;
  • ICD SOFT DEV's total liability for any claim relating to the platform is limited to the amount you paid la12 in the 3 months before the event giving rise to the claim.

These limitations do not apply to damage caused intentionally or by gross negligence, or in any other case where the law does not allow liability to be limited.

13. Suspension and termination

You may stop using the platform at any time. A company administrator or a supplier can ask for the account to be closed by writing to us at [email protected]; employees should contact their company.

We may suspend or close an account, normally after prior notice, if the terms are seriously or repeatedly breached, if the subscription remains unpaid after a reminder, if the account is used fraudulently or endangers the security of the platform or of other users, or if the law requires us to. In urgent cases we may suspend access immediately.

If we decide to close the platform or one of its services, we will give at least 30 days' notice.

After termination, orders already sent to suppliers must still be fulfilled and paid for between the company and the supplier, and amounts owed to la12 remain due. You can export your reports before the account is closed; data is kept and deleted as described in the Privacy policy.

14. Data protection

We process personal data in accordance with the Privacy policy and Law no. 195/2024 on personal data protection.

For employee data, the company is the controller and ICD SOFT DEV acts as processor: we process the data only to provide the platform and on the company's instructions, keep it confidential and secure, use sub-processors (hosting, CDN) with appropriate safeguards, help the company respond to employees' requests and notify it without undue delay of any personal data breach. On request, we can sign a separate data processing agreement.

The supplier uses the data received through the platform as an independent controller and only to fulfil orders.

15. Changes to the terms

We may change these terms when the platform, the pricing model or the law changes. We will notify you of material changes by email or on the platform at least 30 days before they take effect; minor corrections and changes required by law may apply sooner.

If you do not agree with the new terms, you may stop using the platform before they take effect. Continuing to use it after that date means you accept them.

16. Governing law and disputes

These terms are governed by the laws of the Republic of Moldova.

We will first try to resolve any disagreement amicably: write to us at [email protected] and we will reply within 30 days. If we cannot reach an agreement, the dispute will be settled by the competent courts of the Republic of Moldova.

The terms are available in Romanian, English, Russian, Ukrainian, German, Italian, Spanish and French. In case of any discrepancy, the Romanian version prevails.
